Welcome to ChiraKinetics. These Terms and Conditions ("Terms") govern the sale of our products and the provision of our services. By purchasing our products or using our services, you agree to be bound by these Terms.

1. Definitions

  • "Company," "we," "us," or "our" refers to ChiraKinetics.

  • "Customer," "you," or "your" refers to the individual or entity purchasing products or using services from ChiraKinetics.

  • "Products" refer to items sold by ChiraKinetics, including laboratory equipment and consumables.

  • "Services" refer to any maintenance, calibration, consultation, or related services provided by ChiraKinetics.

2. Orders and Acceptance

  • All orders are subject to acceptance by ChiraKinetics.

  • We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases of inaccuracies, pricing errors, or stock availability.

  • Orders cannot be canceled by the customer once accepted without prior written approval from ChiraKinetics.

3. Pricing and Payment

  • Prices are quoted in USD and are subject to change without prior notice unless otherwise stated in a written agreement.

  • Full payment is required prior to shipment or service unless credit terms are agreed upon in advance.

  • Accepted payment methods include Bank Transfer, Check, Credit Card.

4. Shipping and Delivery

  • Shipping costs are calculated at checkout and are the responsibility of the customer unless otherwise agreed.

  • Delivery dates are estimates and not guarantees. ChiraKinetics is not liable for delays caused by circumstances beyond our control.

  • Risk of loss passes to the customer upon delivery to the carrier.

5. Returns and Refunds

  • Products may be returned within 30 Days of receipt, provided they are unused, in original condition, and accompanied by proof of purchase.

  • A restocking fee of 40% may apply.

  • Custom or special-order items are non-refundable.

6. Warranty

  • ChiraKinetics warrants that its products and services will meet the agreed specifications at the time of delivery.

  • Warranty periods vary by product or service and are specified in the product documentation or service agreement.

  • The warranty does not cover misuse, improper installation, unauthorized repairs, or normal wear and tear.

7. Service Terms

  • Services provided by ChiraKinetics, including calibrations and maintenance, are subject to the specifications outlined in the service agreement.

  • It is the customer's responsibility to provide a safe and accessible environment for on-site services.

  • ChiraKinetics is not responsible for delays caused by the customer's failure to meet these requirements.

8. Limitation of Liability

  • ChiraKinetics is not liable for indirect, incidental, or consequential damages arising from the use of our products or services.

  • Our total liability is limited to the amount paid by the customer for the product or service that caused the damage.

9. Confidentiality

  • Any proprietary or confidential information disclosed by either party shall remain confidential and shall not be disclosed to any third party without prior written consent.

10. Compliance

  • The customer agrees to comply with all applicable laws and regulations regarding the use and purchase of products and services.

  • ChiraKinetics is not responsible for ensuring the customer's compliance with regulatory requirements.

11. Force Majeure

  • ChiraKinetics is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, labor strikes, government actions, or supply chain disruptions.

12. Governing Law

  • These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

  • Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware.

13. Amendments

  • ChiraKinetics reserves the right to modify these Terms at any time. Changes will be posted on our website and will apply to all transactions made after the effective date of the modification.
